READ AND AGREE TO THE TERMS OF THIS EULA BEFORE ACCESSING, USING, SUBSCRIBING TO, DOWNLOADING, DEPLOYING OR INSTALLING ANY SOFTWARE. BY ACCESSING, USING, SUBSCRIBING TO, DOWNLOADING, DEPLOYING OR INSTALLING THE SOFTWARE, YOU ARE AGREEING TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS EULA. IF YOU DO NOT AGREE WITH THE TERMS AND CONDITIONS OF THIS EULA, YOU MAY NOT ACCESS, USE, SUBSCRIBE TO, DOWNLOAD, DEPLOY OR INSTALL THE SOFTWARE.
This End-User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity, "you" or "Licensee") and Chronodat, LLC ("Chronodat," "Licensor," "we," or "us") governing your use of the Software. The "Software" includes the applicable Chronodat computer software, and may include associated media, printed materials, online or electronic documentation, application programming interfaces, updates, and supplements.
This EULA applies to all software and services made available by Chronodat, however delivered or distributed, including but not limited to: (a) SharePoint Framework (SPFx) solutions, including web parts, full-page (single-part) web parts, extensions, and Microsoft Teams and Viva Connections surfaces; (b) Microsoft 365 apps that deploy into and run within your Microsoft 365 tenant; (c) SaaS platforms and web applications hosted by or on behalf of Chronodat (for example, Service Desk, Risk Management, and QuizFlex AI); and (d) legacy SharePoint-hosted add-ins distributed via the Office Store / Microsoft AppSource. Where a specific product is accompanied by separate or additional terms (including product-specific order forms, subscription terms, or documentation), those terms apply to that product together with this EULA, and in the event of a conflict the product-specific terms control for that product.
1. DEFINITIONS
"Software" – the Chronodat software and services accompanying or governed by this EULA, including documentation, online materials, and any future updates, regardless of delivery model.
"SPFx Solution" – a SharePoint Framework solution provided by Chronodat, including web parts, full-page (single-part app) web parts, application customizers and other extensions, deployed to your Microsoft 365 tenant App Catalog and rendered within SharePoint Online pages, Microsoft Teams, and/or Viva Connections.
"Microsoft 365 App" – a Chronodat application that installs into and runs within your Microsoft 365 tenant, storing its data within your tenant (for example, in SharePoint lists and libraries).
"SaaS Service" – a Chronodat cloud-hosted, multi-tenant software-as-a-service application accessed over the Internet, where the application and its data are hosted by or on behalf of Chronodat.
"Legacy Add-In" – a SharePoint-hosted add-in distributed via the Office Store / Microsoft AppSource and run on the SharePoint platform.
"Trial Version" – a time-limited, fully or substantially functional version of the Software provided for evaluation purposes (typically 14 days, unless a different period is stated for the applicable product). If you register for a free trial, this EULA also governs that trial. To convert a trial to a paid license or subscription, you must purchase a license or subscription through our online store, Microsoft AppSource, or an authorized channel.
"License" – the right to use the Software subject to the applicable licensing model: (i) for SPFx Solutions, Microsoft 365 Apps, and Legacy Add-Ins, a per-site-collection license (one license per SharePoint site collection) unless otherwise stated, which is perpetual and includes updates for the licensed product except where the product is offered on a subscription basis; and (ii) for SaaS Services, a subscription license for the subscription term and plan you purchase. Unless otherwise stated, a license covers an unlimited number of authorized end-users and devices within the licensed scope.
2. GRANT OF LICENSE
Subject to your compliance with this EULA and payment of applicable fees, Chronodat grants you a non-exclusive, non-transferable, non-sublicensable license to install and/or access and use the Software as follows:
Use of the Software requires Internet connectivity and, for SPFx Solutions, Microsoft 365 Apps, and Legacy Add-Ins, an appropriately licensed Microsoft 365 / SharePoint environment. The Software does not include, and Chronodat is not responsible for providing or configuring, Microsoft 365, SharePoint, or other third-party platforms or connectivity.

3. INTELLECTUAL PROPERTY & COPYRIGHT
The Software is licensed, not sold. All title, ownership rights, and intellectual property rights in and to the Software (including but not limited to any code, images, photographs, clipart, libraries, templates, and examples incorporated into the Software), the accompanying materials, and any copies are and remain owned by Chronodat and its licensors. You must treat the Software like any other copyrighted material. Chronodat reserves all rights not expressly granted to you in this EULA. "Chronodat" and associated logos are trademarks of Chronodat, LLC.
4. DATA SECURITY & PRIVACY
SPFx Solutions, Microsoft 365 Apps & Legacy Add-Ins. These products store your data within your own Microsoft 365 / SharePoint environment (your tenant), not on Chronodat servers. Chronodat acquires no ownership rights in your data, and in normal operation does not access, transmit externally, or retain your data. Some features may call Microsoft Graph or Microsoft 365 services within your tenant using the permissions you grant at deployment.
SaaS Services. For cloud-hosted SaaS Services, your data is hosted by or on behalf of Chronodat with its cloud infrastructure providers. Chronodat processes such data solely to provide and support the Software. As between the parties, you retain all ownership of your data, and you grant Chronodat a limited license to host, process, and transmit your data as necessary to provide the Software. Chronodat implements commercially reasonable administrative, technical, and organizational safeguards designed to protect your data.
Your use of the Software is also governed by the Chronodat Privacy & Cookies Policy. You are responsible for obtaining any consents and complying with all laws applicable to the data you process using the Software.
5. FEES, SUBSCRIPTIONS & TRIALS
Perpetual, per-site-collection licenses (where offered) are one-time purchases for the licensed product and scope. SaaS Services and certain products are provided on a subscription basis and require payment of recurring fees for each subscription term; subscriptions may renew in accordance with the applicable order or checkout terms. Trials automatically expire at the end of the trial period unless converted to a paid license or subscription. Except where required by law or expressly stated otherwise, fees are non-refundable.
6. UPDATES & SERVICE AVAILABILITY
Chronodat may provide updates, upgrades, patches, and enhancements to the Software, which are governed by this EULA unless accompanied by separate terms. For SaaS Services, Chronodat aims to provide reasonable availability but does not warrant uninterrupted or error-free operation, and may perform maintenance, modify, or discontinue features from time to time.
7. TECHNICAL SUPPORT
Licensee acknowledges that it has evaluated the Software (including via any available Trial Version) before purchasing. Chronodat provides support for licensed products, primarily by email, in accordance with the plan or product documentation. Support for Trial Versions and free plans may be limited and provided at Chronodat's discretion.
8. TERM & TERMINATION
This EULA is effective until terminated. You may terminate at any time by ceasing use of the Software and, for installed products, removing and deleting all copies, including any documentation; for SaaS Services, by cancelling your subscription. Chronodat may suspend or terminate your license if you materially breach this EULA. Upon termination, your right to use the Software ends and you must stop using it. Termination does not entitle you to any refund of fees already paid, except as required by law. Sections relating to intellectual property, disclaimers, limitation of liability, and governing law survive termination.
9. PROVIDED "AS IS" (DISCLAIMER OF WARRANTIES)
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. CHRONODAT DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. CHRONODAT DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. THE ENTIRE RISK ARISING OUT OF THE USE OR PERFORMANCE OF THE SOFTWARE REMAINS WITH THE LICENSEE.
10. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CHRONODAT OR ITS SUPPLIERS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, CONSEQUENTIAL, OR PUNITIVE DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION OR DATA, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. CHRONODAT'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SOFTWARE OR THIS EULA SHALL NOT EXCEED THE AMOUNTS PAID BY YOU FOR THE APPLICABLE PRODUCT DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
11. GENERAL
This EULA constitutes the entire agreement between you and Chronodat regarding the Software and supersedes any prior agreements on that subject, except for any product-specific terms referenced above. If any provision is held unenforceable, the remaining provisions remain in effect. Chronodat may update this EULA from time to time; your continued use of the Software after an update constitutes acceptance of the revised terms. Chronodat, LLC is based in Houston, Texas, USA, and this EULA shall be governed by the laws of the State of Texas, without regard to its conflict-of-laws principles.
